How STRF income and yield work
Dividends are paid on the $100 stated amount, not on the market price. At 10.00% that is $10.00 per share a year if every dividend is declared. Yield on your price = (rate × $100) ÷ the price you pay. The delayed price above is TradingView's; we don't calculate a yield from it.

How it's taxed
Last verified: 2026-10-26US holders
Return of capital (ROC) is not taxed when paid; it lowers your cost basis. ROC status is decided each year and is not guaranteed.
- 2025 distributions 100% of 2025 distributions on Strategy's preferred stock (incl. STRF) were treated as nontaxable return of capital to the extent of basis.
- Issuer outlook (exact wording) Strategy says it expects “the distributions paid on its preferred equity instruments to be treated as ROC for the foreseeable future (i.e., ten years or more)”, and also that “Strategy's expectations on E&P may change, and any such change could affect the U.S. federal income tax treatment of the distributions.”
- Q1 2026 Form 8937 Q1 2026 (paid Mar 31, 2026; $2.500/share): expected 100% nontaxable ROC to extent of basis; zero current & accumulated E&P estimated for tax year 2026.
- Forms 8937 for later 2026 payments
- General rule (prospectus) Dividend to extent of E&P, then tax-free ROC up to basis, then capital gain (long-term if held >1 year). Quoted from Strategy's STRC prospectus.
- How return of capital works (IRS) A nondividend (return-of-capital) distribution reduces basis; it is reported in Form 1099-DIV box 3; once basis reaches zero, further nondividend distributions are capital gain.
- Where it's reported ROC portion reported as nondividend distribution (1099-DIV box 3); issuer 8937 says info will be reflected on the 2026 Form 1099-DIV.
- Qualified dividend status
Non-US holders
- Default US withholding 30% U.S. withholding on the dividend (E&P) portion paid to non-U.S. persons, or a lower treaty rate with Form W-8BEN/W-8BEN-E.
- Treaty rates Treaty dividend rates are listed by country in the IRS Tax Treaty Tables (Table 1). We don't show a number here.
- Return-of-capital portion IRS Publication 515: a withholding agent may elect not to withhold on the part not paid out of earnings and profits, based on a reasonable estimate. It is optional, so results depend on your broker.
- Form 1042-S ROC (nondividend distribution) is reported on Form 1042-S with income code 37.
- What Strategy says Strategy says copies of Form 1042-S, “as required”, will be furnished to certain non-US holders. It does not promise 0% withholding.
- What Strategy's STRC prospectus says Strategy's STRC prospectus (Mar 23, 2026): distributions not paid out of earnings and profits are “potentially exempt from U.S. withholding tax”, but a withholding agent “may still elect to withhold” on the entire amount. The issuer expects these payments to be exempt, but brokers may still withhold 30% (Treas. Reg. 1.1441-3(c)); any over-withholding can come back through a broker correction or Form 1040-NR. Quoted from the STRC prospectus; Strategy's other preferreds are not named in this passage.
- What your broker actually withholds
- US citizens and green-card holders living abroad give their broker Form W-9, not W-8BEN, so non-US withholding doesn't apply to them.
